North Carolina "Blue Sky" Laws

The United States Securities and Exchange Commission (SEC) regulates the securities industry at the federal level. It oversees the industry's key participants, including broker-dealers, mutual funds, and investment advisors. The SEC also ensures that consumers are equipped with particular financial information to enable them to make sound investment decisions.

At the local level, each state has its own securities laws, known as "Blue Sky" laws. In North Carolina, this law is the North Carolina Securities Act (the "Act"). The North Carolina Securities Division administers the Act and investigates complaints about securities offerings, broker-dealers, and investment advisors. In order to protect investors and prevent fraud, it may suspend or revoke licenses, prevent securities offerings, apply for an injunction, or refer matters for criminal prosecution.

Because of the high stakes involved in securities matters, it is prudent to obtain the assistance of an experienced securities lawyer to handle these claims. For example, a Financial Industry Regulatory Authority (FINRA) arbitration panel in Durham recently awarded Claimants over $145,000 in compensatory damages, $25,000 in attorney's fees, and interest. In the above matter, Claimant alleged that Respondent failed to make payments due under the terms of a promissory note. Consequently, Claimant requested the principal amount of the promissory note, interest, and attorney' fees. The arbitration panel agreed that relief was warranted and awarded nearly all of the requested relief.
